The short version

These terms are the agreement between you and Winnabit Ltd for using the Winnabit app. A few things worth knowing up front:

1.About these terms

In short These terms are a binding contract; using Winnabit means you accept them.

Winnabit (the "app") is operated by Winnabit Ltd, a company registered in England and Wales (company number 16979558), with its registered office at 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ ("Winnabit", "we", "us", "our").

These Terms & Conditions (the "terms") govern your use of the Winnabit mobile app on iOS and Android. By downloading, creating an account, or using Winnabit, you agree to these terms and to our Privacy Policy. If you do not agree, do not use the app.

Please also read the health and safety disclaimer (section 13) and the sections on tokens (section 7) and why staking is not gambling (section 8) carefully, as they are important.

2.Changes to these terms

In short We can update these terms; we'll tell you about material changes.

We may update these terms from time to time — for example, to reflect changes to the app, the token system, or the law. When we make a material change, we will give you notice through the app or by email before it takes effect. The "last updated" date at the top always shows the current version. Continuing to use Winnabit after a change takes effect means you accept the updated terms. If you do not accept them, you should stop using the app and may delete your account.

3.Eligibility and age

In short You must be 13+. If you're 13–17, a parent or guardian must agree too.

You must be at least 13 years old to use Winnabit. By using the app, you confirm that you are 13 or over.

If you are aged 13 to 17, you may only use Winnabit if your parent or legal guardian has read and agreed to these terms on your behalf and consents to your use of the app, including participating in challenges and staking tokens. By using Winnabit in this age group, you confirm that you have that consent. We may ask for confirmation of it at any time.

You confirm that you have the legal capacity to enter into these terms (or that your parent or guardian does so on your behalf).

4.Your account

In short One account per person, keep your details accurate, and keep your login secure.

You are responsible for the device, internet connection, and any mobile-data charges needed to use the app.

5.Licence and intellectual property

In short We own Winnabit; you get a personal licence to use it.

We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to download and use the Winnabit app on devices you own or control, for your own personal, non-commercial use, in accordance with these terms.

Winnabit and all related intellectual property — including the app, its software, design, the "Winnabit" name and logo, and our content — are owned by Winnabit Ltd or our licensors and are protected by law. Except as expressly permitted, you may not copy, modify, distribute, sell, licence, or create derivative works from any part of the app, and you may not reverse engineer, decompile, or disassemble it except to the extent this restriction is prohibited by law.

6.Tokens

In short Tokens are a virtual currency with no cash value — you can't buy, sell, cash out, or refund them.

Tokens have no monetary value. They cannot be purchased with real money, sold, transferred outside the app, exchanged for cash, or refunded. Tokens are a virtual in-app currency and a licence to use a feature of the app — nothing more.

7.Staking is not gambling

In short No real money is wagered and outcomes depend on your effort — this is not betting or gambling.

Staking tokens on a challenge is a feature of the app for accountability and motivation. It is not gambling, betting, or a lottery. Specifically:

8.Challenges and verification

In short Challenges are verified automatically and results are final — there is no appeals process.

When you join a challenge, you agree to its rules, including the stake and how completion is verified. Challenges are verified automatically, using one or more of:

Verification results are automated and final. There is no appeals process. You accept that sensors and data sources may occasionally be inaccurate or unavailable, and that, to the fullest extent permitted by law, Winnabit is not liable for token losses or gains resulting from verification outcomes.

We reserve the right, but are under no obligation, to review and correct a challenge outcome at our sole discretion where we identify a clear technical error. Any such correction is a discretionary act and does not create a right of appeal or an expectation that we will act in other cases.

9.Fair play and prohibited conduct

In short No cheating, harassment, or unlawful content — or you may lose tokens and your account.

To keep Winnabit fair and safe, you must not:

If you breach these rules — particularly by cheating — we may, at our discretion and in addition to any other rights we have: forfeit or reverse tokens, disqualify you from a challenge, and/or suspend or terminate your account, without compensation.

10.Your content

In short You keep your content; you give us a licence to display it in the app.

You may upload content such as a profile photo and photo-based challenge proof ("your content"). You retain ownership of your content. You grant Winnabit a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, and display your content within the app for the purpose of operating and providing Winnabit — for example, showing your profile photo and challenge proof to members of your groups. This licence ends when you delete the content or your account, except for content already shared with others or retained as required by law or for backup for a limited period.

You confirm that you own or have the rights to your content and that it does not infringe anyone else's rights or break the law.

11.Rewards and redemptions

In short You can swap tokens for third-party brand vouchers — the brand, not Winnabit, is responsible for the reward.

Winnabit offers vouchers and reward offers from partner brands. You can exchange ("purchase") tokens for a voucher and redeem the reward directly with the relevant brand. In connection with rewards:

Nothing in this section affects your statutory rights against a brand as the supplier of a product or service.

12.Health and safety disclaimer

In short Winnabit is not a medical or fitness advisor — take part at your own risk and consult a doctor if unsure.

Winnabit is not a medical, healthcare, or fitness advisory service, and nothing in the app is medical or fitness advice. Challenges may involve physical activity such as going to the gym, walking, or exercising.

You take part in challenges at your own risk. You are responsible for deciding whether an activity is safe and appropriate for you, and for exercising within your own limits. You should consult a qualified doctor or healthcare professional before starting or increasing physical activity, especially if you have any medical condition, injury, or concern. Stop and seek medical help if you feel unwell.

You acknowledge that the app uses loss aversion (staking tokens) to encourage habits, and you agree not to let this lead you to act unsafely. To the fullest extent permitted by law, Winnabit is not liable for any injury, illness, or harm arising from your participation in challenges or activities you undertake using the app.

13.Availability of the app

In short The app is provided "as is"; we don't guarantee it will always be available or unchanged.

We provide Winnabit on an "as is" and "as available" basis. We do not guarantee that the app will always be available, uninterrupted, error-free, or secure. We may change, suspend, or withdraw features at any time. Some features may be offered as beta or experimental and may be less reliable or change or be removed without notice. This section does not exclude any guarantees or rights you have under law that cannot be excluded (see section 15).

14.Termination

In short You can leave anytime; we can end your access for breach. Either way, tokens are forfeited.

You may stop using Winnabit and delete your account at any time in the app. We may suspend or terminate your access if you breach these terms (including by cheating), if we reasonably suspect misuse, or if we stop providing the app.

On termination or account deletion, for any reason, your tokens expire and are cancelled with no compensation or cash alternative, and the licence granted to you under these terms ends. Sections that by their nature should survive termination — including intellectual property, limitation of liability, and governing law — will continue to apply.

15.Limitation of liability

In short Our liability is limited, but your legal rights as a consumer stay fully intact.

Nothing in these terms limits or excludes our liability where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, and for any of your rights as a consumer that cannot be excluded or limited by law — including your statutory rights under the Consumer Rights Act 2015.

Subject to that, and to the fullest extent permitted by law:

If you use the app for any business or commercial purpose (which is not permitted), we have no liability to you for loss of profit, business, goodwill, or business opportunity.

In short Winnabit relies on other companies' services, which have their own terms.

17.Governing law and jurisdiction

In short These terms are governed by the law of England and Wales.

These terms and any dispute arising out of or in connection with them are governed by the law of England and Wales. Disputes are subject to the courts of England and Wales. If you are a consumer resident elsewhere in the UK (Scotland or Northern Ireland), you may also bring proceedings in your local courts, and you benefit from any mandatory protections of the law where you live.
